Terms & Conditions

These Terms & Conditions ("Terms") govern your use of aibridgehq.com (the "Site") and all services provided by AI Bridge HQ, a division of SMB Solutions LLC ("we," "us," or "our"). By accessing the Site, engaging our services, or entering into a service agreement with SMB Solutions LLC, you ("you," "your," or "Client") agree to be bound by these Terms.

1. Services

SMB Solutions LLC, operating as AI Bridge HQ, provides information technology services including but not limited to: AI and business process automation, cloud services (Microsoft 365, Azure, Google Cloud), software engineering, cybersecurity, networking, tech support, and website development (collectively, the "Services"). The specific scope of Services will be defined in individual service agreements, statements of work, or other written arrangements between you and SMB Solutions LLC.

2. Consent to Mobile Communications

By engaging or contracting SMB Solutions LLC for any Services, you expressly consent to receive communications on your mobile device, including but not limited to:

  • Project updates — progress reports, milestone notifications, and deliverable status.
  • Status updates — service alerts, scheduled maintenance windows, and incident notifications.
  • Multi-factor authentication (MFA) codes — 6-digit verification codes and other security credentials required to access systems, accounts, or platforms managed as part of the Services.
  • Support ticket updates — notifications regarding the status of open support requests.
  • Operational communications — any other information reasonably necessary for SMB Solutions LLC to deliver the contracted Services.

These communications may be delivered via SMS text message, email, or other electronic messaging platforms to the contact information you have provided. All such communications are transactional and service-related in nature — they are not marketing or promotional messages.

You acknowledge that certain communications, particularly MFA codes and security alerts, are time-sensitive and essential to the secure delivery of Services. Failure to receive or respond to such communications may impact our ability to perform the contracted Services.

3. Accurate Contact Information

You agree to provide accurate, current, and complete contact information — including your mobile phone number and email address — and to promptly update this information if it changes. SMB Solutions LLC is not responsible for service delays or disruptions resulting from outdated or incorrect contact information.

4. Opting Out of Non-Essential Communications

You may request to opt out of non-essential mobile communications by contacting us at info@aibridgehq.com. However, you acknowledge that certain communications (such as MFA codes, critical security alerts, and service-affecting notifications) cannot be opted out of while Services are active, as they are integral to service delivery and security.

5. Client Responsibilities

As a Client of SMB Solutions LLC, you agree to:

  • Provide timely access to systems, credentials, and information necessary for us to deliver the Services.
  • Respond to service-related communications in a reasonable timeframe.
  • Safeguard any credentials, MFA codes, or access information shared with you as part of the Services.
  • Not share authentication codes or security credentials with unauthorized individuals.
  • Comply with all applicable laws and regulations in connection with the Services.

6. Intellectual Property

All content on the Site — including text, graphics, logos, and design — is the property of SMB Solutions LLC and is protected by applicable intellectual property laws. You may not reproduce, distribute, or create derivative works from any Site content without our prior written consent.

Ownership of work product created during the delivery of Services will be governed by the applicable service agreement between you and SMB Solutions LLC.

7. Limitation of Liability

To the fullest extent permitted by law, SMB Solutions LLC shall not be liable for any indirect, incidental, consequential, or punitive damages arising out of or related to your use of the Site or Services. This includes, without limitation, damages arising from service interruptions, delayed communications, or failure to receive MFA codes or notifications due to carrier issues, device settings, or incorrect contact information provided by the Client.

8. Disclaimer of Warranties

The Site and its content are provided "as is" without warranties of any kind, either express or implied. While we strive to keep the Site accurate and up to date, we make no guarantees regarding the completeness, reliability, or availability of the Site at any given time.

9. Indemnification

You agree to indemnify and hold harmless SMB Solutions LLC, its officers, employees, and agents from any claims, damages, losses, or expenses (including reasonable attorney fees) arising out of your breach of these Terms, misuse of the Services, or violation of any applicable law.

10. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Florida, without regard to its conflict of law provisions. Any disputes arising under these Terms shall be resolved in the courts located in the State of Florida.

11. Termination

We reserve the right to suspend or terminate access to the Site or Services at our discretion if these Terms are violated. Upon termination of a service agreement, the provisions of these Terms that by their nature should survive — including limitation of liability, indemnification, and governing law — shall remain in effect.

12. Changes to These Terms

We may update these Terms from time to time. Any changes will be posted on this page with an updated effective date. For active clients, material changes will be communicated via the contact information on file. Continued use of the Site or Services after changes are posted constitutes your acceptance of the revised Terms.

13. Severability

If any provision of these Terms is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary, and the remaining provisions shall continue in full force and effect.

14. Entire Agreement

These Terms, together with our Privacy Policy and any applicable service agreements, constitute the entire agreement between you and SMB Solutions LLC regarding the use of the Site and Services. In the event of a conflict between these Terms and a signed service agreement, the service agreement shall prevail.
